1. Acceptance of Terms

These Terms of Use ("Terms") govern your use of our website, apps, and other products (the "Platform") for the language-learning services provided in the Platform ("Services"), and any content thereof ("Content"). By using our Services you agree to be bound by these Terms, including the policies referenced in these Terms. If you do not agree, you may not access or use the Service. The Platform is only intended for individuals above the age of 18. If you are below the age of 18, please do not use the Platform or its Services. The Platform and all Content are provided strictly for educational and personal language-learning purposes. The Platform is not intended to serve as professional, academic, or authoritative language instruction, and should not be relied upon as such.

2. License for Personal Use Only

Subject to these Terms and our Policies, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license right to use our Services. The rights granted herein are only for your personal, non-commercial use, unless you obtain our written permission otherwise. You also agree that you will create, access, and/or use only one user account, unless expressly permitted by Travelingos, and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any intellectual property rights in our Services or the content you access.

Travelingos platform ("Travelingos," "us," "we," or "our") offers an AI-powered language-learning platform that enables users to learn languages through their own travel experiences by uploading photos, videos, and audio, from which personalized vocabulary and exercises are generated. Any reference to Travelingos under these terms shall include any of the Platform representatives, including its managers, agents or any of its representatives (collectively, "representatives").

3. License Restrictions

You shall not:

  1. scrape, reverse engineer, copy, distribute or modify any part of the Platform without our prior written authorization;
  2. use, modify, create derivative works of, transfer (by sale, resale, license, sublicense, download or otherwise), reproduce, distribute, display or disclose Content (defined below), except as expressly authorized herein;
  3. disrupt servers or networks connected to the Platform;
  4. use or launch any automated system (including without limitation, "robots" and "spiders") to access the Platform;
  5. circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any Content or that enforce limitations on use of the Platform;
  6. upload or distribute any information which is unlawful, libelous, racist, deceptive, misleading, fraudulent, threatening, abusive, harassing, tortious, obscene, pornographic, discriminatory or profane; and/or
  7. upload any content or information that may infringe third party rights.

4. Access, Accuracy and Availability

We do not guarantee uninterrupted access to the Service. Access may be suspended or restricted due to maintenance, updates, or unforeseen circumstances.

The Content may be modified, updated, or discontinued at any time without prior notice.

We attempt to be as accurate as possible. However, we cannot and do not warrant that the Content available on the Platform is accurate, complete, reliable, current, or error-free. Content may contain errors or inaccuracies arising from various sources, including but not limited to generative AI and automated systems, human oversight, technical issues, and third-party data or services. In particular, AI-generated learning content (including extracted vocabulary, exercises, and answer evaluations) is produced by automated systems and may contain inaccuracies. All Content is provided for educational supplementation only and should not be treated as authoritative or error-free. We reserve the right to make changes in or to the Content, or any part thereof, in our sole judgment, without the requirement of giving any notice prior to or after making such changes to the Content. Your use of the Content, or any part thereof, is made solely at your own risk and responsibility. We are not liable for any loss or inconvenience caused by interruptions or changes to the Service.

5. User Contributions

If you submit photos, videos, audio files, feedback, comments, or other material ("User Content"):

  1. You retain ownership of your User Content but grant us a worldwide, royalty-free, non-exclusive license to use, process, reproduce, and store it for operating the Service, including sending your media to third-party AI services for content extraction and exercise generation.
  2. You represent and warrant that you have the right to upload and share any media you provide, and that your User Content does not infringe on the rights of any third party.
  3. You agree not to upload unlawful, infringing, or harmful content.
  4. We reserve the right to remove or disable any User Content at our sole discretion.

6. Intellectual Property

Content and Marks. Travelingos (and/or its representatives and/or its licensors, as applicable), is, and shall be, the sole and exclusive owner of all right, title, and interest (including without limitation all Intellectual Property Rights) in and to:

  1. content on the Platform, including without limitation, the Content, Services, text, documents, articles, descriptions, software, graphics, photos, sounds, videos, interactive features, AI-generated exercises and learning materials, any other information and services (collectively, the "Materials");
  2. the trademarks, service marks, and logos contained therein ("Marks");
  3. any feedback, suggestions, or ideas for or about the Platform; and
  4. any improvements, derivative works, and/or modifications of/to any of the foregoing, regardless of inventorship or authorship. "Travelingos", the Travelingos logo, and other marks are Marks of Travelingos or its representatives. All other trademarks, service marks, and logos used on the Platform are the trademarks, service marks, or logos of their respective owners.

Use of Content. Content on the Platform is provided to you for your information and personal use only and may not be used, modified, copied, distributed, transmitted, broadcast, displayed, sold, licensed, decompiled, or otherwise exploited for any other purposes whatsoever without our prior written consent. If you download or print a copy of the Content, you must retain all copyright and other proprietary notices contained therein.

Your Media. For the avoidance of doubt, you retain all ownership rights in the photos, videos, and audio files you upload to the Platform. Our license to use your User Content (as described in Section 5) is limited to operating and improving the Services.

7. Payments, Refunds, and Cancellations

Travelingos is currently offered as a free service during early access. Should we introduce paid features or subscriptions in the future, fees will be listed at the time of purchase and these Terms will be updated accordingly.

8. Disclaimer of Warranties; Limitation of Liability; Indemnification

  1. The Platform is provided on an "as is" and "as available" basis, and without warranties of any kind either express or implied. Travelingos hereby disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, satisfactory quality, title, accuracy, fitness for a particular purpose, non-infringement, and those arising by statute or from a course of dealing or usage of trade. Travelingos and its representatives do not guarantee that the Platform will be free of bugs, security breaches, or virus attacks. The Platform may occasionally be unavailable for routine maintenance, upgrading, or other reasons. You agree that Travelingos and its representatives will not be held responsible for any consequences to you or any third party that may result from technical problems of the internet, slow connections, traffic congestion or overload of our or other servers. We do not warrant, endorse or guarantee any content, product, or service that is featured or advertised on the Platform by a third party. All Content, including AI-generated material such as extracted vocabulary and exercises, is provided for educational purposes only and may contain inaccuracies arising from generative AI, automated processing, human error, third-party sources, or technical limitations. The Platform is not a substitute for professional language instruction or certified educational programs, and no Content should be relied upon as authoritative or error-free.
  2. To the fullest extent permissible by law, Travelingos and its representatives shall not be liable for any direct, indirect, exemplary, special, consequential, or incidental damages of any kind, or for any loss of data, revenue, profits or reputation, arising under these terms or out of your use of, or inability to use, the Platform, even if Travelingos or its representatives have been advised of the possibility of such damages or losses. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
  3. To the maximum extent permitted under applicable law, neither Travelingos, nor any of its representatives, shall have any liability of any kind or nature in connection with your use of the Platform, Content or any of our Services. For the avoidance of doubt, neither Travelingos nor any of its representatives shall in any circumstances, whatsoever, be liable for: (I) any damages that hold connection or are related to your use of the Platform or any of our Services, (ii) any losses arising out of any event or events beyond our reasonable control, (iii) any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill, or (iv) any loss or corruption of any data, database or software.
  4. The combined aggregate liability of Travelingos, its representatives and all its affiliates under, or otherwise in connection with, these terms shall not exceed the lesser of: (I) the total amount of fees, if any, paid by you to Travelingos for using the Platform during the three (3) months prior to bringing the claim, or (ii) USD 100.
  5. You agree to defend, indemnify and hold harmless Travelingos, its representatives and its affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from your violation of these Terms.

9. Third Party Sources and Content

  1. The Platform may contain links, and may enable you to view, access, link to, and use content from Third Party Sources (defined below) that are not owned or controlled by Travelingos ("Third Party Content"). The Platform may also enable you to communicate and interact with Third Party Sources. "Third Party Source(s)" means third party websites and services.
  2. We are not affiliated with, have no control over, and assume no responsibility for any Third Party Sources, including, but not limited to the content, privacy policies, or practices of, any third party websites. You: (i) are solely responsible and liable for your use of and linking to third party websites and any content that you may send or post to a third party website; and (ii) expressly release Travelingos from any and all liability arising from your use of any third party website. Accordingly, we encourage you to read the terms and conditions and privacy policy of each third party website that you may choose to visit.
  3. Travelingos and its representatives are not responsible for, and we expressly disclaim all warranties regarding, the accuracy, appropriateness, usefulness, safety, or Intellectual Property Rights of, or relating to, any Third Party Content. You are solely responsible and liable for your interaction with a Third Party Source. You agree to waive, and hereby do waive, any legal or equitable rights or remedies you may have against Travelingos, and release Travelingos from any and all liability, arising from your use of and interaction on any Third Party Content and from your interaction with any Third Party Source. If you have any query or complaint regarding a Third Party Source or any Third Party Content, you agree to contact the Third Party Source directly.

In particular, the Platform uses the following third-party services to operate: Netlify (hosting, authentication, and file storage), Neon (database), Google Gemini AI (content extraction and exercise generation), and Airtable (waiting list management). Your use of the Platform constitutes acceptance of these third-party integrations. Please refer to our Privacy Policy for detailed information on how data is shared with these providers.

10. Governing Law and Dispute Resolution

These Terms and the relationship between you and Travelingos shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tel Aviv, Israel, and waive any jurisdictional, venue, or inconvenient forum objections to such courts, provided that Travelingos or its representatives may seek injunctive relief in any court of competent jurisdiction.

11. Termination; Survival of Terms

These Terms are effective for the duration of your use of our Services. Travelingos, in its sole discretion, has the right to terminate these Terms and/or your access to the Platform, or any part thereof, immediately at any time and with or without cause (including, without any limitation, for a breach of these Terms), without notice or explanation. Upon termination of these Terms, you shall cease all use of the Platform. Notwithstanding any termination, expiration or cancellation of these Terms, Sections 3 and Sections 6 through 13 shall survive termination, expiration or cancellation of these Terms.

12. Updates to Terms; Assignment

We may revise these Terms at any time. Updates will be posted with a new "Last Updated" date. Continued use of the Service after updates constitutes acceptance of the new Terms. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by Travelingos without restriction or notification to you. Any prohibited assignment shall be null and void.

13. General

These Terms shall constitute the entire agreement between you and Travelingos concerning the Platform and the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and a party's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. To the extent permitted under applicable law, you agree that any cause of action that you may have arising out of or related to the Platform must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
